Terms of Trade

1. Scope
These terms set out the general basis on which Applyace Ltd supplies goods and services to buyers and works with manufacturers and brand owners. Specific terms for each order or partnership — including price, quantity, specification, Incoterms and payment — are agreed in writing and take precedence over these general terms.
2. Quotations and orders
Quotations are valid for the period stated and are subject to product availability and exchange-rate movements. An order becomes binding when we confirm it in writing.
3. Incoterms, delivery and risk
Each order specifies the applicable Incoterm (for example EXW, FOB, CIF or DDP). Responsibility for cost, risk and insurance passes in accordance with that Incoterm. Delivery dates are estimates; we will keep you informed of any change.
4. Payment
Payment terms are agreed per order and may include deposits, letters of credit or documentary collection. Title to goods passes on receipt of payment in full unless otherwise agreed.
5. Quality and compliance
We carry out due diligence on manufacturers and, where agreed, arrange inspections. Buyers are responsible for confirming that products meet the regulatory requirements of their destination market unless we have expressly agreed to provide compliance services.
6. Claims
Any shortage or visible damage must be notified within the period stated on the order confirmation, supported by photographs and documentation. Claims are handled in accordance with the agreed Incoterm and any applicable insurance.
7. Brand representation and distribution
Representation and distribution partnerships are governed by a separate written agreement covering territory, exclusivity, targets, pricing structure and term.
8. Liability
Nothing in these terms limits liability that cannot be limited by law. Otherwise our liability in connection with any order is limited to the value of that order.
9. Governing law
These terms are governed by the laws of England and Wales, unless a specific agreement provides otherwise.
